These Terms of Service (“Terms”) govern your access to and use of the website, services, and engineering engagements provided by AxonLabs (“we,” “our,” or “us”). By accessing our website or engaging our services, you agree to comply with these Terms. If you do not agree, you should not use our website or services. These Terms apply to all visitors, clients, partners, vendors, and users interacting with AxonLabs through digital platforms or formal engineering engagements.
Use of this website
The content provided on this website is for informational purposes only. You may use the website solely for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the platform.
You agree not to attempt unauthorized access to any part of the website, servers, or associated systems. You must not introduce malicious code, attempt to disrupt operations, or engage in activities that compromise cybersecurity integrity.
AxonLabs reserves the right to suspend or restrict access to the website if misuse or violation of these Terms is detected.
Scope of Services
AxonLabs provides embedded architecture design, cybersecurity engineering, hardware development, secure IoT system design, system validation, and related consulting services. The specific scope, deliverables, timelines, and obligations for each engagement will be defined in a separate written agreement, proposal, or contract executed between AxonLabs and the client.
Website descriptions of services are illustrative and do not constitute binding commitments unless formally agreed in writing.
Engagement and Deliverables
All engineering engagements are governed by mutually agreed contractual documents, including proposals, statements of work, or master service agreements. These documents define project scope, responsibilities, intellectual property rights, confidentiality terms, timelines, and payment structures.
AxonLabs performs services based on the information, documentation, and constraints provided by the client. The accuracy and completeness of client-provided materials directly impact deliverable quality and timelines.
Intellectual Property
Unless otherwise specified in a written agreement, all pre-existing intellectual property, proprietary methodologies, tools, and frameworks developed or owned by AxonLabs remain the property of AxonLabs.
Client-owned materials, documentation, and intellectual property remain the property of the client. Ownership of newly developed work products will be defined explicitly in the governing contractual agreement. Nothing in these Terms transfers ownership rights unless expressly stated in writing.
Confidentiality
AxonLabs recognizes the sensitive nature of engineering and cybersecurity engagements. Confidential information shared during discussions or project execution will be protected under applicable Non-Disclosure Agreements (NDAs) or contractual confidentiality clauses.
Both parties agree not to disclose proprietary, technical, financial, or business information without prior written consent, except where required by law.
Payments and Fees
Fees, billing schedules, and payment terms are defined in the applicable contract or proposal. Clients agree to pay all fees in accordance with the agreed terms. Delayed payments may result in suspension of services where permitted by contract.
All fees are exclusive of applicable taxes unless otherwise stated. Clients are responsible for any taxes or regulatory charges associated with services rendered.
Warranties and Disclaimers
AxonLabs provides services using professional engineering standards and reasonable care consistent with industry practices. However, except as expressly stated in a written agreement, services and website content are provided “as is” without warranties of any kind, either express or implied.
We do not guarantee that services will be error-free, uninterrupted, or immune from evolving cybersecurity threats. Security engineering reduces risk but does not eliminate all possible vulnerabilities.
Limitation of Liability
To the maximum extent permitted by law, AxonLabs shall not be liable for indirect, incidental, consequential, or special damages arising from the use of our website or services.
Total liability for any claim arising out of a specific engagement shall be limited to the fees paid for that engagement, unless otherwise defined in a written contractual agreement.
Compliance with Laws
Clients are responsible for ensuring that their products, systems, and deployments comply with applicable local, national, and international regulations. While AxonLabs may provide guidance aligned with industry standards or regulatory frameworks, ultimate compliance responsibility rests with the client organization.
Third-Party Components
Engineering solutions may involve integration of third-party hardware, software, or open-source components. AxonLabs is not responsible for vulnerabilities, performance issues, or licensing obligations inherent to third-party technologies unless explicitly agreed in writing.
Clients remain responsible for ensuring appropriate licensing and regulatory compliance related to third-party components.
Termination
Either party may terminate an engagement according to the terms specified in the governing contract. Upon termination, clients remain responsible for payment of services rendered up to the termination date.
Termination does not affect accrued rights, confidentiality obligations, or intellectual property provisions that survive beyond project completion.
Force Majeure
AxonLabs shall not be held liable for delays or failure to perform obligations caused by circumstances beyond reasonable control, including natural disasters, government actions, infrastructure disruptions, or unforeseen technical constraints.
Governing Law
These Terms and any related disputes shall be governed by the laws of the applicable jurisdiction defined in the governing contract or, in absence of such definition, the jurisdiction in which AxonLabs is legally registered.
Modification to terms
AxonLabs reserves the right to update or modify these Terms at any time. Changes will be posted on this page with a revised “Last Updated” date. Continued use of the website or services after updates constitutes acceptance of the revised Terms.
